1. Agreement to Terms

These Terms govern your use of SmartSpends, a service provided by CK IT Solutions GmbH, including its website and mobile application (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

SmartSpends provides a personal finance management platform that includes expense tracking, receipt scanning, budget management, AI-powered insights, and other financial tools. The Service may change from time to time as we develop and add new features.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.

4. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Content

The Service allows you to upload, store, and share content, including receipts, transaction data, and other financial information ("User Content"). You retain all rights in your User Content.

By uploading User Content, you grant SmartSpends a non-exclusive, worldwide, royalty-free license to use, copy, process, adapt, and display your User Content for the purpose of providing and improving the Service.

6. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate or infringe other people's intellectual property, privacy, or other rights
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service to distribute unsolicited promotional or commercial content
• Impersonate another person or entity
• Use the Service in any manner that could disable, overburden, damage, or impair the Service

7. Subscription and Payments

Some aspects of the Service may be available on a subscription basis. By subscribing to a paid plan, you agree to pay the subscription fees as described at the time of purchase.

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage and cancel your subscription through your account settings.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by CK IT Solutions GmbH and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CK IT SOLUTIONS GMBH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CK IT SOLUTIONS GMBH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless CK IT Solutions GmbH and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Service after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by the modified Terms.
